Handling of Confidential Information Policy

Pfizer Policy on Submission of Ideas: All materials submitted MUST be non-confidential and should not contain any markings indicating confidentiality. By submitting your materials to Pfizer for review, you understand that we will not treat the information as confidential or proprietary, and thus will not be restricted from using such information or disclosing such information to third parties. Pfizer wishes to thank its friends who each year submit to it their ideas and suggestions. Many of these suggestions are submitted in the hope that they may prove useful in our search for new and better products in one of Pfizer's areas of operations. This continuing interest in Pfizer is sincerely appreciated, yet creates a need on our part to establish definite policies concerning submitted ideas and to express them in printed form, rather than in the more personal way we would prefer.

Pfizer research - a tradition for over a century: Pfizer, as a manufacturer of pharmaceutical, animal health and consumer products is continually engaged in an extensive program of research on a variety of subjects. In a tradition established through more than a century of research, Pfizer scientists are constantly working on the development of new and improved products and more efficient methods of manufacture. Pfizer's own investigational efforts are supplemented by grants to university laboratories and others. In addition to its own original work, Pfizer has access to a large number of technical and scientific publications, prior patents, and other sources of information. It is not surprising, therefore, that many of the ideas submitted to Pfizer by persons outside the Company are already known or made available to it through the efforts of its own research staff.

The proposals we receive: It frequently happens that persons outside the Company wish to submit to us ideas or suggestions on terms which they consider fair and equitable, but which reserve to the submitters rights over and above their patent rights. These proposals take different forms. For example, we are often asked, prior to submission of an idea, to agree upon some basis of compensation to the submitter if we use the idea. In other cases, submitters sometimes ask that we receive their ideas "in confidence." Although some of the proposals which we receive do not appear to be unreasonable upon first impression, experience has shown that such arrangements often result in misunderstandings. Honest differences of opinion may arise as to whether our staff was already familiar with, or even working on, the particular idea at the time of its submission. It is often necessary to refer a submission to a number of different persons in the Company and even to outside consultants to ascertain whether or not it is of interest. Thus, while we have no intention of publicizing a submission, we can assume no obligation to keep it confidential. Further, our personnel must be free to work in all areas of interest to the Company. We cannot impose limitations on their activities by declaring certain areas "out of bounds," as a condition to receiving a "new idea."

The patent laws: Your best protection - and ours, too: How then is the person who wishes to submit an idea to us to protect themself? We believe that the patent laws are the best means by which the submitter, as well as Pfizer, may be fairly and adequately protected. We suggest that persons desiring to submit ideas to us first obtain, or at least apply for, a patent whenever that is possible. The first step in obtaining a patent is to consult a patent attorney and describe your idea in detail. Ordinarily, the patent attorney will make a search of the prior patents to determine whether a patent has already been issued covering your idea or one substantially similar to it. In addition, the patent attorney may search scientific journals to determine whether or not your idea is really new. Based on this preliminary search, your patent attorney will then advise you whether or not, in their opinion, the idea is patentable and warrants the filing of a patent application in the United States Patent Office. If so, at your request the patent attorney will prepare a patent application, file it in the Patent Office, and handle the so-called "prosecution" of the patent application until such time as a patent issues or the application has been finally rejected by the Patent Office. Business ideas and many technical ideas which relate to minor changes in products and manufacturing techniques usually are not patentable. We can rarely compensate for such ideas; they can be freely copied by competitors as soon as they are put into use and hence are generally of no special value to us. Ideas which may be patentable, but have not yet been patented, carry similar limitations and uncertainties. However, if we find a particular unpatented submission to be unusually meritorious, we may, if interested, consider compensating the submitter in such an amount as we feel is appropriate.

Our Policy: For the reasons listed in this statement, it is our fixed policy to consider new ideas or suggestions from persons outside the Company upon the following conditions:

  1. That the submission is not made in confidence and is not accompanied by any reservation or condition whatever which imposes upon Pfizer any obligation or restriction with regard to its use.
  2. That the submitter's rights shall be only those given under the patent laws and/or under any written contract to which the submitter and Pfizer may mutually agree.
  3. That, in the absence of patent protection or a written contract, Pfizer shall have the right to decide, in its sole discretion, whether the submitter will be compensated for the suggestion or idea submitted to Pfizer or for Pfizer's use thereof, and the amount of any such compensation.

We sincerely hope the information in this statement has been helpful in clarifying our position with regard to the submission of ideas.

I acknowledge that I have read the above statement 'Pfizer Policy on Submission of Ideas', which sets forth your policy on the submission of ideas by persons outside your company. I agree that in making this submission, I shall be bound by the terms and conditions set forth in the policy statement. In consideration of your examining my idea, I release your company from any liability for any use of all or any portion thereof, except such liability as may arise with respect to a valid new patent now or hereafter issued to me.
