(BUSINESS WIRE)--Pfizer Inc (NYSE:PFE) announced today that it has obtained clearance from the Federal Cartel Office of Germany (FCO) in connection with the tender offer by its wholly-owned subsidiary, Explorer Acquisition Corp., to purchase all of the outstanding shares of common stock of Encysive Pharmaceuticals Inc. (NASDAQ: ENCY) at a purchase price of $2.35 per share, net to the seller in cash, without interest thereon and less any required withholding taxes.

The “Regulatory Condition” necessary for the consummation of the tender offer as defined and described in the offer to purchase has now been satisfied. The tender offer is scheduled to expire at 12:00 midnight, New York City time, on Monday, March 31, 2008, unless extended in accordance with the procedures described in the offer to purchase. The tender offer remains conditioned upon the other closing conditions described in the offer to purchase.
